Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you, on your own behalf and on behalf of any organisation you represent (collectively, "you"), and LiveIndex.app, together with its associates, assigns, affiliates, and successors (collectively, "LiveIndex," "we," "us," or "the Service"). Please read them carefully. Sections 9 through 13 limit our liability and require you to assume risk and indemnify us.

1. Acceptance of Terms

By accessing, browsing, creating an account for, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to every provision, you must not access or use the Service.

2. Description of the Service

LiveIndex is a delivery-intelligence platform. It connects, on a read-only basis, to third-party systems you authorise (such as source-control, project-tracking, and team- communication tools) and analyses the metadata it receives to produce summaries, progress indicators, risk signals, forecasts, and other insights. The Service never writes to, modifies, or deletes anything in your connected accounts. Features, integrations, and outputs may change, be suspended, or be discontinued at any time without notice.

3. Informational Purposes Only; No Professional Advice

The Service provides guidance, estimates, probabilities, and insights for informational purposes only. Its outputs are not guaranteed to be accurate, complete, current, reliable, or fit for any purpose, and are not a substitute for independent professional judgement. Forecasts and risk indicators are probabilistic and inherently uncertain; they describe possibilities, not commitments or outcomes. Nothing produced by the Service constitutes financial, legal, investment, employment, engineering, or other professional advice. Any decision you make in reliance on the Service is made solely at your own discretion and risk, and you are exclusively responsible for independently verifying any information before acting on it.

4. AI-Generated Content

Portions of the Service rely on artificial intelligence, machine learning, and large language models, including third-party AI providers, to generate narratives, summaries, classifications, and predictions. AI-generated output is produced by automated statistical systems and may be incomplete, outdated, biased, misleading, or simply wrong, and may contain "hallucinated" or fabricated content that appears plausible but is inaccurate. We do not independently verify AI output and make no representation or warranty regarding it. You are solely responsible for reviewing, validating, and exercising human judgement over any AI-generated content before relying on or distributing it, including any content you forward to clients, stakeholders, or third parties. We do not name or endorse any particular AI provider, and the providers we use may change at any time.

5. Eligibility and Account Responsibilities

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself and any organisation you represent. You are responsible for keeping your credentials confidential and for all activity that occurs under your account, and you agree to notify us promptly of any unauthorised use. You represent that you have all rights, consents, and authorisations necessary to connect any third-party account or data source to the Service and to permit us to process the resulting data.

6. Acceptable Use

You agree not to: (a) use the Service in violation of any applicable law or regulation; (b) infringe or misappropriate any third party's intellectual-property, privacy, or other rights; (c) connect data you are not authorised to access or share; (d) attempt to gain unauthorised access to, probe, or disrupt the Service or its infrastructure; (e) reverse engineer, scrape, or resell the Service except as expressly permitted; or (f) use the Service to build a competing product. We may suspend or terminate access for any actual or suspected violation, at our sole discretion and without liability.

7. Third-Party Services and Data Sources

The Service interoperates with third-party platforms and depends on data, APIs, and infrastructure we do not control. We are not responsible for the availability, accuracy, security, or practices of any third-party service, for changes they make to their APIs or terms, or for any loss, delay, or corruption of data arising from them. Your use of any third-party service is governed by that party's own terms and policies.

8. Payment and Subscriptions

Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor. You authorise us to charge your payment method for all applicable fees and taxes. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and we do not provide credits or refunds for partial periods, unused features, or downgrades.

9. Intellectual Property

The Service, including its software, design, and all original content, features, and functionality, is owned by LiveIndex.app and its licensors and is protected by intellectual-property laws. You retain all rights to the data you connect. You grant us a limited, non-exclusive licence to process that data solely to operate, secure, and improve the Service, including the use of aggregated and anonymised data that does not identify you.

10. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY OUTPUT, INSIGHT, OR FORECAST WILL BE ACCURATE OR RELIABLE. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIVEINDEX.APP, ITS ASSOCIATES, ASSIGNS, AFFILIATES, SUCCESSORS, AND THEIR RESPECTIVE OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL HAVE NO LIABILITY WHATSOEVER ARISING OUT OF OR RELATING TO THE SERVICE, ITS USE OR MISUSE, ANY RELIANCE ON ITS OUTPUTS, OR ANY INABILITY TO USE IT, whether the claim is based in contract, tort (including negligence), strict liability, statute, or any other theory. This includes, without limitation, any direct, indirect, incidental, special, consequential, exemplary, or punitive damages; any loss of profits, revenue, data, goodwill, business, or opportunity; any decision made or action taken in reliance on the Service; and any harm resulting from inaccurate, delayed, or AI-generated output. IF, AND ONLY TO THE EXTENT THAT, APPLICABLE LAW DOES NOT PERMIT A COMPLETE EXCLUSION OF LIABILITY, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND THAT THE SERVICE WOULD NOT BE PROVIDED WITHOUT THEM.

12. Assumption of Risk

You knowingly and voluntarily assume all risks associated with your access to and use of the Service, including any risk arising from acting, or failing to act, on the basis of its outputs, insights, forecasts, or AI-generated content. You are solely responsible for the consequences of your use or misuse of the Service.

13. Indemnification

You agree to defend, indemnify, and hold harmless LiveIndex.app, its associates, assigns, affiliates, successors, and their respective officers, members, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use or misuse of the Service, your data or connected accounts, your reliance on any output, your violation of these Terms, or your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, and without any liability to you. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 3, 4, and 9 through 13) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you waive any objection to venue there. Any claim must be brought within one (1) year after it arises, or it is permanently barred.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
